Terms of Service
These Terms of Service ("Terms") govern your access to and use of the website located at softecia.net (the "Site") and the web design, graphic design, mobile app development, and digital growth services (the "Services") provided by SOFTECIA LLC ("SOFTECIA," "we," "us," or "our"), a company registered in Colorado, United States, with its office at 1500 N Grant St, Ste 19930, Denver, CO 80203. By accessing the Site or engaging our Services, you agree to be bound by these Terms.
1. Services
SOFTECIA provides custom web design, graphic design, mobile application development, and related digital growth services to clients on a project or retainer basis. The specific scope, deliverables, timeline, and price for each engagement are defined in a written proposal, invoice, or service agreement ("Project Agreement") provided to the client prior to commencement of work. In the event of any conflict between these Terms and a Project Agreement, the Project Agreement controls for that engagement.
2. Quotes and Proposals
All prices listed on this Site are estimates for typical project scopes. Final pricing is confirmed in a written proposal or invoice before any deposit is collected. SOFTECIA reserves the right to adjust pricing for scope changes requested after a Project Agreement has been signed.
3. Payment Terms
Unless otherwise agreed in writing, projects require an upfront deposit before work begins, with the remaining balance due upon completion or according to milestone terms specified in the Project Agreement. Payments are processed through a secure, PCI-DSS-compliant third-party payment processor. SOFTECIA does not directly collect or store full card numbers. Late payments may result in a pause of work until the account is brought current.
4. Client Responsibilities
Clients agree to provide timely feedback, content, brand assets, and access credentials reasonably required for SOFTECIA to complete the Services. Delays in providing required materials may extend project timelines accordingly.
5. Intellectual Property
Upon full payment for a project, SOFTECIA assigns to the client all rights, title, and interest in the final deliverables created specifically for that project, excluding any third-party assets, stock content, licensed fonts, or pre-existing SOFTECIA tools and frameworks incorporated into the deliverable, which remain licensed for the client's use in connection with the delivered product. SOFTECIA retains the right to display completed work in its portfolio unless the client requests confidentiality in writing.
6. Revisions
Each Project Agreement specifies an included number of revision rounds. Additional revisions beyond the agreed scope may be billed separately at our standard rates or as outlined on our Pricing page.
7. Cancellations and Refunds
Cancellation and refund terms are described in our Refund & Cancellation Policy, which forms part of these Terms.
8. Limitation of Liability
To the fullest extent permitted by law, SOFTECIA's total liability arising out of or related to the Services shall not exceed the total amount paid by the client for the specific project giving rise to the claim. SOFTECIA is not liable for indirect, incidental, or consequential damages, including loss of revenue or data, arising from use of the delivered work.
9. Third-Party Services
Projects may incorporate third-party platforms, plugins, hosting providers, or payment processors. SOFTECIA is not responsible for the performance, security, or policies of third-party services not directly under our control.
10. Termination
Either party may terminate an ongoing engagement in accordance with the notice terms specified in the applicable Project Agreement. Fees for work completed up to the termination date remain payable.
11. Governing Law
These Terms are governed by the laws of the State of Colorado, United States, without regard to conflict-of-law principles.
12. Changes to These Terms
We may update these Terms from time to time. Continued use of the Site or Services after changes are posted constitutes acceptance of the revised Terms.
